01 · Executive summary

The intelligence layer above NIR scanners: any material verified in seconds.

What we do
Device-agnostic AI platform that turns any portable NIR scanner into a field verification tool: scan, score, decide, prove. Verdict in seconds, every result hashed and timestamped on the XRP Ledger. App live on iOS and Android.
Traction
Six materials validated at 96–99%: chocolate packaging, paracetamol, powders and molasses, oyster provenance, water quality; food supplements ongoing. Incorporated 2023: Kerry Group research, Ripple XRPL accelerator award, PM International 3-year R&D contract (€132K). IP registration in progress.
Business model and US focus
$50K onboarding, $100K a year per client, then expansion by material, site and supplier. First US buyer: QA leaders at supplement and pharma manufacturers; DSCSA enforcement is live. Plan: 10 to 150 customers in five years, revenue $1.0M to $15.0M, break-even in year three; 150 customers is 0.5% of a $3.1–3.9B serviceable market.
The ask
$3M private investment, with about $1.75M of Luxembourg public funding on top (YIE + RDI, planned): funds the plan through operating break-even in 2029 without a further round. Only the private ticket dilutes. University of Luxembourg spin-off: FNR JUMP grant, Uni.lu incubator.
02 · The problem

Companies can identify any material. They cannot afford to check every batch.

Labs are accurate, but central, slow and expensive, so most goods are never tested.

Counterfeit imports · EU
€99B
4.7% of all EU imports
Global trade in fakes: $467B, 2.3% of world imports (OECD / EUIPO, 2025)
Fakes stopped at the US border · FY2025
$7.3B
79M items seized
and that is only what gets caught. US brands are the world's most counterfeited (CBP; OECD / EUIPO)

When the material is a medicine, the cost is lives: 267,000 deaths a year are linked to falsified anti-malarials in sub-Saharan Africa alone (UNODC, 2023).

NIR Watchdog brings verification to the point of decision: portable scanners plus AI, deviations flagged on the spot, any solid or liquid material*.

*any solid or liquid material with organic origin.

Sources: OECD / EUIPO, Mapping Global Trade in Fakes 2025 (2021 customs data); US CBP, FY2025 IPR seizure statistics; UNODC (2023), threat assessment on trafficking in medical products. The €99B EU figure is reported in euro by OECD / EUIPO and is left in euro deliberately; the global equivalent is $467B.

03 · The solution

From scan to trusted verdict in seconds.

1
Scan
Any portable NIR device and our mobile app capture the material's spectral fingerprint. On the line, in the warehouse, at the border.
2
Score
Our engine compares it with validated reference models. Trained once per material, device-agnostic.
3
Decide
PASS or FAIL in seconds: authentic, deviating or anomalous.
4
Prove
Every scan and model version can be hashed, signed and timestamped on the XRP Ledger: an audit trail regulators can check.

Not another scanner. The intelligence layer above scanners.

07 · The ask

Seeking $3M in private investment, funded through break-even.

08 · Why the US, why now

The US window is open: enforcement is live, budgets exist.

Market ready
Enforcement is live
DSCSA is in force for manufacturers, wholesalers and large pharmacies since 2025. Detecting and removing suspect product is a legal duty, and the FDA is enforcing it. Only small pharmacies have until November 2027.
A focused first buyer
QA leaders
At supplement and pharma manufacturers with an incoming-material inspection workflow. They buy from the quality budget that already exists; no new budget line needed.
A measurable pilot
One material, one site
Agreed validation criteria, inspection time, cost per sample and error rate, and a clear path to a licence. The product is live: we demo it on the spot.
DSCSA, in short
What it isThe Drug Supply Chain Security Act, a 2013 US federal law that built an electronic, interoperable system to trace every prescription drug package. Every trading partner must be able to verify a product and trace it back within 24 hours of an FDA request.
Where enforcement standsFinal phase effective 27 Nov 2023, then staggered: manufacturers and repackagers May 2025, wholesale distributors Aug 2025, large pharmacies Nov 2025. On 6 Aug 2026 the FDA extended the exemption for small dispensers only (25 or fewer staff) to 27 Nov 2027.
Where we fitBeyond serialisation, DSCSA requires partners to identify, quarantine and investigate suspect product and remove illegitimate product within 24 hours. DSCSA proves the package is real; NIR Watchdog proves what is inside it is real.

Roadshow goal: pilot partners, and investors who want to back the physical-verification layer the US market needs.

09 · Vision and ask

Every deployment makes the platform smarter and harder to copy.

More customers, more labelled spectra, better models, faster onboarding. First, high-value inspection in food and pharma; then material verification wherever goods are produced, stored or transferred.

What we are looking for in the US
Introductions to supplement and pharma QA leaders
$3M private investment, with Luxembourg public funding on top

Nothing gets past it.

Sep 2026 scenario · licence revenue from mid-year of signing · no churn. New customers 10 / 12 / 23 / 40 / 65; revenue = $50K × new customers + $100K × average customers in the year. US list pricing, not an FX conversion of the euro plan; break-even in Y3 on the Dec 2025 cost plan (converted at 1.17 USD/EUR).

A3 · Cost discipline

Lean start, controlled ramp, scaling with the base

Milestone-gated spend
Costs rise in discrete waves aligned to capability milestones: build → operate → scale. No front-loading.
Predictable overheads
Legal, accounting and certification on constant retainers; rent and hosting step up only with capacity.
Scales with the base
From 2029, sales and support headcount grows with the client base; core R&D and overheads stay lean.
Dec 2025 resource plan

Year-one cost base of ~$1.4M against a $4.75M plan ($3M private plus planned public funding). Sales and support scale with the client base, so total cost rises to ~$3.4M by Y5, break-even lands in Y3, and the plan is funded through break-even without a further round.

How to read it

ACV at maturity: $100K platform licence plus expansion by material, site and supplier; the $50K set-up is one-time and excluded. Plan coverage: 45 customers in 2029 is 0.15%, 150 in 2031 is 0.5% of the sites counted. Widening food to 50+ employees adds ~10K sites ($4.4–5.1B).

Sources: USDA ERS / US Census County Business Patterns 2022 (42,708 food and beverage manufacturing establishments; ~13% with 100+ employees); US Census SUSB, NAICS 3254 (~2,900 pharmaceutical establishments); Eurostat SBS, NACE C10–C11 and C21 (EU food manufacturing ~264K enterprises, ~4% with 50+ employees; ~35K drinks enterprises); supplement and distribution counts are industry estimates.
